1.Introduction

Guildily ("we", "us", or "our") is a platform that connects verified knowledge experts with subscribers who want direct access to professional insight. By creating an account or using our services, you agree to these Terms of Service.

Please read these terms carefully before using the platform.

2.User Accounts

To access most features of Guildily, you must create an account. You agree to provide accurate, complete, and current information and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you become aware of any unauthorized use.

3.Expert Accounts and Expert Responsibilities

Professionals may apply to become verified experts on Guildily. Applications are reviewed manually. We reserve the right to approve or decline any application at our discretion.

Approved experts must complete a credential verification process before publishing content. By applying and publishing on Guildily, experts represent and warrant that their credentials and qualifications are accurate, current, and verifiable.

Experts agree that their content will comply with all applicable laws and relevant professional standards, and that they will not use the platform to:

— Provide individualized treatment recommendations or personalized professional advice — Prescribe medications or medical treatments to subscribers — Provide legal representation or legal advice to individual subscribers — Render regulated financial advice to specific individuals — Deliver any other regulated professional service through the platform

Experts understand that Guildily is an information-sharing platform, not a channel for professional service delivery. Violations of these responsibilities may result in account suspension or permanent removal.

4.Subscription Billing

Subscribers pay a monthly fee to access an individual expert's content. Subscription prices are set by each expert and may vary. The maximum subscription price is capped by Guildily at $20 per month.

Subscriptions renew automatically on a monthly basis until canceled. By subscribing, you authorize Guildily and its payment processor to charge your payment method on a recurring monthly basis.

Subscribers may cancel at any time through their account settings. Cancellation stops future billing. Access to subscriber-only content continues through the end of the paid period. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial subscription periods. We may issue refunds or credits at our discretion.

Access to subscriber-only content — including private discussions, live Q&A, and guild space — is contingent on an active subscription.

5.Platform Fees

Experts on Guildily set their own monthly subscription prices. This includes the option to offer a subscription at $0.

Guildily retains a 15% platform fee on all subscription revenue. This fee is all-in and includes payment processing costs. No additional deductions are taken beyond this amount.

Experts receive the remaining revenue from each subscription. Payout schedule and minimum thresholds will be published prior to public launch.

All payments are processed by Stripe, a third-party payment processor. By using the platform, you agree to Stripe's applicable terms of service.

6.Content Ownership

Experts retain ownership of the content they publish on Guildily. By publishing content, experts grant Guildily a non-exclusive, worldwide license to host, display, and deliver that content to authorized subscribers through the platform.

This license does not allow Guildily to sell or redistribute expert content outside of the platform without separate authorization.

Subscribers are granted access to expert content for personal, non-commercial use only. Reproduction, redistribution, or resale of any content is prohibited.

7.No Professional Advice

Content published by experts on Guildily is provided for informational and educational purposes only. Nothing on this platform constitutes medical, legal, financial, therapeutic, or any other form of regulated professional advice.

Experts may discuss topics related to their professional field — including medicine, law, finance, or other disciplines — but they may not provide individualized professional advice, diagnoses, treatment recommendations, or personal legal or financial guidance through this platform.

Users should consult a licensed professional directly for advice, diagnosis, treatment, or representation specific to their personal situation.

Reliance on any information provided through Guildily — including expert posts, Q&A responses, and guild space discussions — is at the user's own risk. Guildily does not verify the accuracy of individual posts and expressly disclaims liability for any reliance on such content.

8.No Professional Relationship

Use of Guildily does not create a doctor-patient, attorney-client, financial advisor-client, therapist-client, or any other professional or fiduciary relationship between experts and subscribers.

Interactions through the platform — including posts, Q&A sessions, comments, and guild space discussions — do not constitute professional engagement and do not establish any professional duty of care.

Experts on Guildily do not diagnose, prescribe, legally represent, or otherwise provide regulated professional services through the platform. Any content they share is educational in nature and does not substitute for a direct professional consultation.

9.Community Conduct

All users of Guildily — including experts and subscribers — are expected to engage respectfully and in good faith. The following conduct is prohibited on the platform:

— Harassing, abusing, threatening, or discriminating against other users or experts — Posting content that is unlawful, defamatory, obscene, or otherwise objectionable — Spamming, promoting unrelated services, or engaging in unsolicited commercial messaging — Impersonating other users, experts, or third parties — Uploading or sharing content that infringes third-party intellectual property rights

Guildily reserves the right to remove content and suspend or terminate accounts that violate these conduct standards, without prior notice, at our sole discretion.

10.Platform Liability

Guildily operates as a platform that facilitates connections between independent experts and subscribers. We do not create the content published by experts and are not responsible for its accuracy, completeness, legality, or reliability.

Guildily verifies expert credentials as part of the onboarding process and may perform periodic re-checks. Guildily does not guarantee that an expert's credentials remain current or valid at all times after verification. Guildily may remove or revoke an expert's verified status at its discretion.

We are not liable for any actions, omissions, advice, or conduct of experts or subscribers on the platform.

To the maximum extent permitted by law, Guildily's total liability arising out of or relating to the services will not exceed the greater of (a) $100 or (b) the amounts paid by you to Guildily for the services in the 12 months immediately preceding the event giving rise to the claim.

11.Termination

Guildily may suspend or terminate your account at any time if you violate these Terms of Service or engage in conduct that we determine, in our sole discretion, is harmful to the platform or its users.

You may close your account at any time by contacting us. Upon termination, your access to the platform will cease. Outstanding subscription obligations may still apply through the end of the current billing period.

12.Changes to Terms

We may update these Terms of Service periodically. When we do, we will revise the effective date at the top of this page. Continued use of the platform after changes take effect constitutes your acceptance of the updated terms.

For material changes, we will make reasonable efforts to notify users via email or through the platform.
